Filing Form ADT-1 with the Ministry of Corporate Affairs (MCA) is a mandatory compliance requirement for every company in India to officially record the appointment of its auditor. As per the Companies Act, 2013, the first auditor must be appointed within 30 days of incorporation, and ADT-1 must be filed within 15 days of that appointment. For subsequent terms, auditors are appointed for five years, and ADT-1 continues to be necessary. This filing ensures transparency, validates the auditor’s role in reviewing financial records, and keeps the company’s annual compliance intact. Failure to file ADT-1 on time can lead to penalties and non-compliance issues.

  • Board Resolution for appointment of auditor.
  • Written consent from the auditor.
  • Certificate from the auditor stating eligibility.
  • Notice of appointment.
  • Company details (CIN, name, registered address).
  • Digital Signature Certificate (DSC) of director.
  1. Hold a Board Meeting to appoint the auditor.
  2. Obtain consent & eligibility certificate from the auditor.
  3. Prepare required documents like Board Resolution & appointment notice.
  4. Log in to MCA portal and download the ADT-1 form.
  5. Fill in the details, attach documents, and sign with DSC.
  6. Upload the form and pay the MCA fees.
  7. Receive acknowledgement from MCA as proof of filing

Form ADT-1 is used to notify the Registrar of Companies (ROC) about the appointment or reappointment of an auditor in a company, providing details of the auditor and the company to ensure compliance with the Companies Act, 2013.

ADT-1 is mandatory for all companies in India, including private, public, listed, unlisted, newly incorporated companies except sole proprietorship, partnership and LLPs.

ADT-1 cannot be revised after filing; if there are any errors, they require correction through additional legal procedures but the form itself is not revisable post-submission.

A company can appoint more than one auditor in ADT-1 by filling the details of joint auditors.

ADT-1 is required when an auditor is appointed to fill a casual vacancy to comply with the Companies Act, 2013.
