Non- Disclosure Agreements (NDAs)

In today’s fast-paced startup ecosystem, protecting sensitive information is critical, and a Non-Disclosure Agreement (NDA) serves as a powerful legal safeguard. An NDA is a binding contract that defines what information is confidential, how it must be protected, and the legal consequences of unauthorized disclosure. For startups and growing businesses, NDAs are more than just formal paperwork—they are a strategic tool to secure intellectual property, trade secrets, product roadmaps, business strategies, and customer data while engaging with investors, vendors, partners, or employees. At Aarthika Globcorp Solutions, we provide expert drafting and execution of Non-Disclosure Agreements in India, ensuring your business interests remain protected and your innovation stays secure.

NDAs are enforceable in India if they meet the requirements of the Indian Contract Act, 1872—such as clear consent, lawful purpose, and reasonable terms.

NDAs cannot legally prevent someone from working in a similar industry; clauses that restrain trade or employment beyond termination are usually void under Section27 of the Indian Contract Act.

Breach of NDA can lead to legal actions such as injunctions, civil suits for damages, and in some cases, criminal penalties if laws like the Information Technology Act apply.

NDAs can remain binding post-employment, but only regarding confidentiality of specific information; they cannot prevent ex-employees from working elsewhere.

Startups often use overly broad or vague NDAs, which Indian courts may refuse to enforce; customization and clarity are essential for validity.
